Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your access to and use of ThriftAI ("Service", "we", "us"), a service operated by Urbaez Belandria Holdings LLC, a Delaware limited liability company, doing business as ThriftAI. By creating an account or using the Services, you agree to these Terms.

If you are using the Services on behalf of a business, you represent that you have authority to bind that business to these Terms.

2. Service Description

ThriftAI provides tools for online resellers, including: AI-generated product listings from photos, cross-listing to multiple marketplaces (eBay, Poshmark, Mercari, Depop, Vinted), automated delisting, repricing, and inventory synchronization.

The Services include both a web application (thriftai.app) and a browser extension.

3. Account Requirements

You must be at least 18 years old to use the Services. You are responsible for maintaining the confidentiality of your account credentials and all activity under your account.

You must provide accurate information when creating an account and keep it up to date.

4. Marketplace Compliance

You remain solely responsible for complying with the terms of service of each marketplace you connect to the Services. We are not affiliated with eBay, Poshmark, Mercari, Depop, or Vinted. You acknowledge that:

  • Marketplaces may change their APIs or terms at any time
  • Automation activities may violate certain marketplace terms
  • We do not guarantee your listings will remain active or comply with any marketplace's rules
  • You are responsible for the accuracy, legality, and quality of all listings

5. Acceptable Use

You agree not to use the Services to:

  • List illegal items, counterfeits, or stolen goods
  • Engage in fraudulent transactions
  • Infringe intellectual property rights
  • Harass or defame other users
  • Attempt to reverse-engineer, hack, or disrupt the Services
  • Use the Services for competitive intelligence or to build a competing product
  • Create multiple accounts to circumvent plan limits
  • Resell or sublicense the Services without written permission

Violation may result in account suspension or termination without refund.

6. Subscription and Payment

6.1 Plans

We offer tiered subscription plans with varying limits (AI listings per month, features). Current pricing is displayed on our pricing page.

6.2 Billing

Paid subscriptions are billed monthly in advance via Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.

6.3 Plan Limits

Each plan has a cap on AI listings per month. Exceeding your cap may result in paused service or overage charges, as communicated in-app. Limits reset on your billing anniversary.

6.4 Cancellation

You may cancel your subscription at any time via account settings. Cancellation takes effect at the end of your current billing period. We do not provide pro-rated refunds for unused time.

6.5 Price Changes

We may change pricing with 30 days' notice. Existing subscriptions continue at the current rate until renewal.

6.6 Refunds

All sales are final except as required by law. Refund requests for exceptional circumstances may be considered on a case-by-case basis.

7. AI-Generated Content

Our AI generates product titles, descriptions, pricing suggestions, and other listing content based on photos you upload. You acknowledge:

  • AI output may contain errors or inaccuracies
  • You are responsible for reviewing and verifying all generated content before publishing
  • We are not liable for incorrect AI-generated information
  • Pricing suggestions are estimates, not guarantees of sale value

8. Intellectual Property

8.1 Our IP

The Services, including software, branding, and content, are owned by Urbaez Belandria Holdings LLC and protected by intellectual property laws. We grant you a limited, non-transferable, non-exclusive license to use the Services for their intended purpose.

8.2 Your Content

You retain ownership of listings, photos, and content you upload. By using the Services, you grant us a license to use your content solely to provide the Services (store it, send to AI providers, display back to you, publish to marketplaces as directed).

9. Browser Extension

Our browser extension requires permissions to interact with marketplace websites. You agree that:

  • The extension accesses marketplace pages only during active use
  • You will not modify or redistribute the extension
  • We may update the extension automatically to fix bugs or add features
  • Marketplaces may detect and block automated activity; we are not responsible for account actions by third-party marketplaces

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, URBAEZ BELANDRIA HOLDINGS LLC AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST SALES, DATA LOSS, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICES IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless Urbaez Belandria Holdings LLC, its officers, directors, and employees from any claims, damages, or expenses arising from your use of the Services, violation of these Terms, or violation of third-party rights (including marketplace terms).

13. Termination

We may suspend or terminate your account at any time for violation of these Terms, non-payment, or for any reason with reasonable notice. You may terminate your account at any time via account settings.

Upon termination: your access to the Services ends immediately, we may delete your data per our Privacy Policy, and no refunds are provided.

14. Modifications to Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-app notice at least 14 days before taking effect. Continued use after changes constitutes acceptance.

15. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles. Any disputes shall be resolved in the state or federal courts located in Delaware.

16. Dispute Resolution

Before filing a lawsuit, you agree to attempt informal resolution by emailing support@thriftai.app. If unresolved after 60 days, disputes shall be settled through binding arbitration under the American Arbitration Association rules, unless prohibited by law.

YOU WAIVE THE RIGHT TO PARTICIPATE IN CLASS ACTION LAWSUITS AGAINST US.

17. General

These Terms constitute the entire agreement between you and ThriftAI regarding the Services. If any provision is held unenforceable, the remaining provisions remain in effect.

Our failure to enforce any right does not constitute a waiver.
